Hong Kong is one of the best countries for starting an offshore company. However, before establishing one, you should ensure you know all the statutory requirements. In addition, understanding the steps clearly will dramatically decrease the time taken for registering a company in Hong Kong

Type of the Company

You should register your new company first. And while doing so, you’ll need to select the type of company. For foreigners, the two options are a local limited company and a non-Hong Kong company.

A local limited company means that the company is originally in Hong Kong. Just like its name, a non-Hong Kong company means that it’s not originally in Hong Kong but developed in Hong Kong.

Business Registration Hong Kong Office

It is the place where you register your company. You have to mention whether the business or company is managed by an individual, a partnership, a local private limited company, or a non-Hong Kong company. Furthermore, you need to register for taxes with the Inland Revenue Department.

Register the Company Trademarks

Registering for trademarks is essential if you have unique products or services. You may need to hire a legal services provider who will help you to manage everything in the Intellectual Property Department.

The Basic Requirements for Registering a Company in Hong Kong

Ensure You Have a Company Name

Indeed, you can’t register a company in Hong Kong without having a name first. At the same time, you also should follow the company name guidelines in this region. For example, you are not allowed to use a Hong Kong limited company’s company name or any name that seems to be connected to the Hong Kong government. It is okay to use English or Chinese, but you are not allowed to combine Chinese and English characters.

Check the Company Name

Go to the Company Registry’s CyberSearch Center, Company Search Mobile Service, Public Search Center at the Company Registry, or Intellectual Property Department (“IPD”) online search system to check your company name. Ensure that the name passes all the requirements.

Mention the Directors of the Limited Company

Your limited company should have at least one director. The director should be 18 years old or older and can be of any nationality.

Mention the Shareholders of the Limited Company

Just like the director, the company should have at least one shareholder. The shareholders can be foreigners, local citizens or another company.

Other Requirements

Your company should have a company secretary, share capital, and the address of the company. You should also prepare the public information, taxation, annual compliance, and government fees.  The point is that you should find complete information before registering a company in Hong Kong.
The process will be easier with the help of a corporate service provider who offers Hong Kong company incorporation.
